Issue:
Client wanted to sell their unique service model to another company to use but didn’t know how to best protect their interests and to prevent that person from misusing the information.
Solution:
The most direct and cost effective way to protect their interests was through a licensing agreement. This licensing agreement 1) outlined payment obligations, 2) included clear confidentiality and non-circumvention responsibilities of the user, and 3) made it so the client did not have to sell this unique service model, but simply licensed (or allowed someone to lease it) which access could be rescinded at a later date if necessary.
Outcome:
Client is now protected from the potential bad acts of the end user and also has a clear way to sell this unique service model to others so they can exponentially increase their revenue.
